Grace Corporate Park LLC ("Grace Corporate Park") client acknowledges that he/she has received and read a copy of this Agreement and all the terms and conditions for Grace Corporate Park Clients and agrees that Grace Corporate Park's services will be used only as provided in such terms and conditions for legitimate business purpose. Grace Corporate Park reserves the right, at any time and without notice, to amend the terms and conditions.

Client will provide all information requested by Grace Corporate Park truthfully. Grace Corporate Park may verify the information and conduct credit check. Any false, invalid information or bad credit may result in suspension or termination of the Client's services. Client may receive passwords and/or a membership number. It is Client's sole responsibility for maintaining the confidentiality of the passwords and membership number, and informing Grace Corporate Park immediately of any violation of the security or integrity of this password and account number. Client further agrees that he/she will update and keep current with Grace Corporate Park his/her contact and billing information (phone, email and mailing address) to keep his/her Grace Corporate Park account valid.

CLIENT ACKNOWLEDGES AND ACCEPTS FULL RESPONSIBILITY AND GUARANTEES PAYMENT FOR ALL ITEMS AND SERVICES PURCHASED THROUGH AN Grace Corporate Park REPRESENTATIVE OR Grace Corporate Park ONLINE PORTAL IF SUCH ITEMS AND SERVICES ARE AUTHORIZED BY THE CLIENT IN THIS AGREEMENT.

Recurring Credit Card Billing: Client authorizes Grace Corporate Park to charge on Client's credit card the recurring billing amount through PayPal.com.  The recurring period may be monthly, quarterly, annual or any other number of days, weeks or months.

Payment Terms and Collection: Unless otherwise stated on an invoice, payment for all amounts owed to Grace Corporate Park shall be due upon receipt of the invoice. Grace Corporate Park reserves the right to discontinue service without notice on any delinquent account. Any account of 30 days delinquent will immediately default on the contract and the entire contract will become due for payment. Client agrees that Grace Corporate Park and its franchisees may pursue all avenues of collection, including use of collection agencies, and authorizes Grace Corporate Park and its franchisees to prepare and submit credit card charge using any of the charge cards listed in the client's file to recover all charges and all other unpaid amounts due to unpaid charges and reasonable late, legal or collection fees. No customer cancellation is allowed before the end of the term of this agreement, except authorized by Grace Corporate Park in writing.

Mail Service: Grace Corporate Park shall require all mail service clients to complete and submit their original US Postal Mail Service Form USPS 1583 along with their photo ID copy before they use Grace Corporate Park, its franchise or partner's business center mailing addresses. Any violation of federal postal regulations may result in termination of their service, fine or even federal punishment. In case of Grace Corporate Park, its franchise or partner forwarding mail for its client, Grace Corporate Park, its franchise or partner will not be responsible for any delay or loss of mails during the forwarding process.

Usage of messaging service: If Grace Corporate Park provides any messaging service such as email or voicemail, Grace Corporate Park may limit the maximum number of days that messages will be retained, the maximum number of messages that may be sent from or received by any account number, and the maximum amount of date storage space allotted to each customer. Grace Corporate Park is not responsible or liable for the deletion or failure to store any messages. Grace Corporate Park shall make every effort to inform Clients of any changes in our practices, terms or procedures. However, from time to time it may be necessary to change such practices, terms, or procedures without due notice.

Ownership and Assignment of Telephone Number: Grace Corporate Park reserves the right to immediately reassign the phone numbers after termination of Client's agreement. In the event it is necessary to change Client's number due to unforeseen circumstances, such as an area code change, Client will not hold Grace Corporate Park liable for any damages due to the change.

Term Length and Termination of Agreement: Client recognizes this agreement will be in effect for the entire length of term chosen by Client. Client acknowledges this agreement will renew automatically for the same length of term unless at least thirty days written notice is given to an authorized Grace Corporate Park personnel prior to renewal date for cancellation.

Warranty and Liabilities: Grace Corporate Park will make every effort to provide our Clients with first-rate, always on service. However, due to unforeseen circumstances when there is any kind of system or equipment failure or interruption, Client agrees not to hold Grace Corporate Park liable for any damages resulting from such system interruption. Grace Corporate Park will also assist in every effort to ensure our services are compatible with Client's existing equipment and software, however Grace Corporate Park does not assume responsibility should any compatibility issues arise.

After Hour Service and Facility Damages: Additional fee may be charged if access to reserved services is required before or after normal business hours i.e. before 8:00am, after 5:00pm, weekends or holidays. Client will be fully responsible for any damages he or she causes to any office facilities.
